bbc embedded video clips: standard licence terms
By embedding video clips from 91福利社 Electric Proms website ( "video clips") from the British Broadcasting Corporation ("91福利社") you agree to be bound by the terms set out below
1. Licence
1.1 Subject to the terms of this Agreement the 91福利社 grants you a non-exclusive licence to embed and display on your website ("Site") the video clips as provided by and served by the 91福利社. You may not copy or re-publish the video files.
1.1 All title, ownership rights and intellectual property rights in and to the video clips shall remain the property of the 91福利社.
2. Use of the video clips
2.1 You may not use the video clips on any Site that is a web site that is excluded by the 91福利社 ("Excluded Website"). See below.
2.2 The video clips are for your personal use only, you may not charge visitors to your Site to view it or sell or distribute the video clips in any way.
2.3 You may not alter the video clips in any way.
2.4 You may not directly or indirectly suggest any endorsement or approval by the 91福利社 of your Site or any non-91福利社 entity, product or content or any views expressed within your Site.
Excluded Websites
The video clips may not be displayed on websites that:
1. Contain pornography and sexually explicit content
2. Contain offensive text or images
3. Are hate sites (on grounds of race, religion, gender or sexual orientation)
4. Contain gratuitous violence
5. Condone or encourage unlawful acts
3. Warranties & Liability
3.1 You warrant to the 91福利社 that:
(i) you have fully complied with, and shall continue to comply fully with, all applicable laws and regulations; and
(ii) the Site is not an Excluded Website.
3.2 The video clips are made available by the 91福利社 on an "as is" and "as available" basis and the 91福利社 gives no warranty of any kind in relation to the video clips or any content on the 91福利社 website. The 91福利社 disclaims all implied warranties.
3.3 The 91福利社 has taken all reasonable care to ensure that the video clips contain no errors, viruses or defects, however, the 91福利社 does not warrant that this is the case. You are advised to ensure that you take precautions to protect your computer from virus infection. The 91福利社 will not be liable for any loss or damage which you may suffer as a result of or connected to the use of the software.
3.4 Each provision of this Clause 3 operates separately in itself and survives independently of the others.
4. Indemnity
You hereby agree to indemnify, hold harmless and defend the 91福利社 in respect of all damages, costs and expenses, including reasonable legal fees and litigation expenses, arising out of or as a result of any breach of the Standard Licence Terms or otherwise in connection with your use of the video clips.
5. Termination
5.1 The 91福利社 may restrict, suspend or terminate the video clips or your access to the video clips at any time without liability.
5.2 Clauses 3, 4 and 6 shall survive termination of this Agreement.
6. General
6.1 Neither party may assign, charge, sublicense or otherwise deal with its rights or obligations in this Agreement in whole or in part to any third party.
6.2 This Agreement shall be interpreted in accordance with the laws of and subject to the exclusive jurisdiction of the English Courts.
